Terms of Service

Version 0.4 · effective October 7, 2026

Key Contract Disclosures

  1. intendle is an intermediary, not the seller of artworks or member-listed books. A purchase contract is formed directly between the buyer and the identified seller.
  2. A Marketplace artwork checkout is limited to one seller and one direct seller payment. A purchase from another seller requires a separate checkout, order and payment.
  3. intendle does not authenticate, appraise, inspect, store, pack, insure, or ship seller-listed items. Sellers are responsible for their listings, fulfillment, legal compliance, and buyer obligations.
  4. intendle does not promise sales, followers, reach, Discover placement, income, or uninterrupted availability.
  5. Users retain ownership of their content. They grant intendle only the license necessary to operate, display, index, moderate, and technically process that content, plus any separately approved promotional use described below.
  6. Mandatory consumer and statutory rights remain in force. Nothing in these Terms excludes rights that cannot lawfully be excluded.

1. Agreement to These Terms

These Terms of Service (the “Terms”) govern access to and use of the intendle website at intendle.com, its account features, editorial areas, Discover, profiles, posts, messaging, the Art Marketplace, Books, checkout, verification, and related services (collectively, the “Services”).

The Services are operated by intendle ("intendle," "we," "us," or "our"). The operator's registered legal details are available on request via legal@intendle.com.

By accessing or using the Services, creating an Account, submitting content, making a purchase, requesting verification, or electronically accepting these Terms, you agree to be bound by:

  • these Terms;
  • the Privacy Policy;
  • the Cookie Policy;
  • the Acceptable Use Policy;
  • the Community and Moderation Guidelines;
  • the Copyright and DMCA Policy;
  • the Refund and Returns Policy;
  • the Shipping Policy;
  • the Payment and Payout Terms; and
  • any additional terms that apply to a specific feature, transaction, or seller activity.

A seller must also accept the applicable Seller Agreement: Books and/or Seller Agreement: Marketplace before publishing items for sale. Those seller agreements are separate contracts and control over these Terms for seller-specific matters if there is a direct conflict.

A buyer who purchases without creating an Account must expressly accept the applicable transaction terms during checkout. If you do not agree to these Terms, do not use the Services.

2. About intendle

intendle is an online platform for the art world. The Services currently include the following distinct areas.

2.1 Articles

Articles are editorial content written and published by intendle. Users do not publish articles in this editorial area. intendle is responsible for its own editorial content, subject to applicable law and the disclaimers in these Terms.

2.2 Discover

Discover is a sorting and discovery surface that may display different types of content, including posts, profiles, artworks, books, and other eligible material. Discover uses a rule-based system. It does not use machine learning or artificial intelligence. The main ranking parameters are described in Section 14.

2.3 Art Marketplace

The Art Marketplace enables verified sellers to offer physical artworks, unique objects, and editions in these 14 categories: Painting; Drawing & Illustration; Printmaking; Photography Prints; Sculpture; Furniture Design & Unique Pieces; Ceramics & Pottery; Glass Art; Textile & Fibre Art; Mixed Media; Mosaic; Woodwork; Metal Work; and Jewelry. intendle provides listing, discovery, communication, checkout, payment-routing, and transaction-management technology. intendle does not own seller-listed works and is not the seller of those works.

2.4 Books

Books supports member-listed digital books and printed books. Sellers may include individual authors, self-publishers, publishers, and galleries. Digital books are delivered by download. Printed books are shipped by the seller.

intendle also maintains a separate editorial catalog of 144 recommended books existing as of the Last Updated date of these Terms. Those recommendations link to third-party merchants and are governed by Section 9.

2.5 Profiles, Posts, Followers, and Messaging

Registered users may maintain profiles, publish eligible posts, follow other Accounts, receive followers, and use available communication features. Self-promotion within the rules of the Services is a central platform function, but no visibility or audience result is guaranteed.

3. Definitions

For these Terms:

“Account” means a registered intendle user account.

“intendle Content” means text, graphics, interfaces, software, design elements, trademarks, editorial content, and other material owned by or licensed to intendle, excluding User Content.

“Buyer” means a person who purchases or attempts to purchase an item through the Services.

“Business User” means a person or entity using the Services in a commercial, professional, trade, craft, publishing, gallery, or business capacity.

“Content” means text, images, photographs, illustrations, files, profile information, listings, descriptions, messages, reviews, metadata, and other material made available through the Services.

“Digital Book” means a book or publication delivered electronically through an authorized download.

“Listing” means an artwork, book, or other item offered for sale by a Seller through the Services.

“Published Title” means a book title that has completed the required publication process and is publicly available for purchase. Drafts do not count as Published Titles.

“Seller” means a verified person or entity authorized to publish Listings through Books or the Art Marketplace.

“Seller Content” means User Content submitted in connection with a Seller, shop, Listing, order, fulfillment, or commercial activity.

“User” means any visitor, registered user, Buyer, Seller, publisher, gallery, business, or other person accessing or using the Services.

“User Content” means Content submitted, uploaded, transmitted, published, or otherwise provided by a User, excluding intendle Content.

4.1 Minimum Age for an Account

You must be at least 13 years old to create or use an Account. The Services are not intended for children under 13, and intendle does not knowingly permit children under 13 to maintain Accounts.

A User who is at least 13 but has not reached the age of legal majority where the User lives may use the Services only to the extent permitted by applicable law and only with the verified consent of a parent or legal guardian under the Parental Consent Rules and the Youth Rules. Until that consent is given, the User's profile and content stay private, and the parent or legal guardian may limit or withdraw the consent at any time.

4.2 Minimum Age for Sellers

You must be at least 18 years old and legally capable of entering binding contracts to become a Seller, enter a Seller Agreement, receive payouts, or act as the legally responsible representative of a Seller entity.

A User who is at least 14 years old but has not reached the age of legal majority may sell as a Seller only with the verified consent of a parent or legal guardian who has turned on the marketplace under the Parental Consent Rules. The parent or legal guardian sets up and holds the payout account in the parent's or guardian's own name, receives all payouts, and is responsible for the Seller obligations together with the User. Any marketplace payment by such a User is made under the same consent.

4.3 Authority to Act for an Organization

If you use the Services for a business, publisher, gallery, organization, or other entity, you represent that you are authorized to bind that entity. In that case, “you” includes both the individual acting through the Account and the represented entity where the context requires.

You may not use the Services if applicable law prohibits you from doing so. Sellers and Buyers are responsible for compliance with trade restrictions, sanctions, import and export rules, and other laws applicable to their locations and transactions. intendle may restrict access or transactions when required by law or by a payment service provider.

5. Accounts and Account Security

5.1 One Person, One Account

One natural person may maintain only one personal Account. A person may use that Account to represent an authorized business, publisher, gallery, or other Seller entity. Creating, controlling, or assisting with undisclosed duplicate Accounts is prohibited unless intendle has given prior written authorization for a documented operational reason.

5.2 Accurate Information

You must provide complete, current, and truthful information and promptly update it when it changes. You may not impersonate another person or entity, misrepresent your identity, professional role, affiliation, location, rights, sales history, or authority, or use information that you are not authorized to use.

5.3 Credentials and Devices

You are responsible for protecting your password, two-factor authentication method, recovery information, devices, and active sessions. You must not share access credentials or permit another person to use your Account as though it were that person’s own Account.

5.4 Suspected Account Takeover

You must notify intendle promptly at support@intendle.com if you suspect unauthorized access, credential theft, or Account takeover.

When intendle reasonably suspects that an Account has been compromised, intendle may temporarily lock the Account, invalidate active sessions, require credential replacement or additional authentication, restrict publishing or transactions, block changes to payout information, and review recent activity. Access will be restored after intendle is reasonably satisfied that control has been returned to the authorized User. This security process does not guarantee recovery of losses caused by unauthorized access.

5.5 No Sale or Transfer of Accounts

Accounts may not be sold, rented, assigned, transferred, or used as collateral. Any permitted succession after the death or legal incapacity of a User is subject to documented authority and applicable law.

6. Electronic Acceptance, Records, and Communications

6.1 Electronic Contracting

You agree that contracts, consents, disclosures, notices, and records may be provided electronically. When a specific agreement requires express acceptance, intendle may record the date and time, Account identifier, acceptance method, and the version number accepted.

6.2 Version Control

Each legal document will display a version number and Last Updated date. Where renewed consent is required, the version accepted by the User remains recorded. Changes to these Terms are governed by Section 31.

6.3 Communications

intendle may send transactional and legally required communications through the Account interface, email, or both. You are responsible for maintaining a working email address and reviewing Account notices. Marketing communications, where used, are subject to applicable consent and unsubscribe requirements.

7. intendle Is an Intermediary, Not the Seller

7.1 Seller-to-Buyer Contracts

For member-listed artworks and books, the purchase contract is formed directly between the Buyer and the Seller identified on the Listing and at checkout. intendle is not a party to that purchase contract and does not become the owner, merchant, consignor, consignee, distributor, publisher, importer, exporter, shipper, warehouse operator, or insurer of the item merely because the Services support the transaction.

7.2 No Authentication, Appraisal, or Inspection

Unless intendle expressly states otherwise in a separate signed writing, intendle does not:

  • authenticate or certify an artwork or book;
  • verify authorship, attribution, provenance, edition size, signature, condition, title, ownership, legality, or market value;
  • physically inspect, possess, store, pack, or ship an item;
  • guarantee that a Listing is accurate or that a Seller will perform;
  • provide legal, tax, investment, appraisal, conservation, or insurance advice; or
  • guarantee that a Buyer will pay or that a transaction will be free of disputes or chargebacks.

Verification of a Seller confirms only that intendle completed the verification process described in the Verification Policy. It is not an endorsement, authenticity determination, credit assessment, professional certification, or guarantee of future conduct.

7.3 No Sales Commission

intendle does not retain a percentage commission from the sale price of seller-listed artworks or books. Seller membership charges, faster verification review charges, payment-provider charges, taxes, refunds, chargebacks, or other separately disclosed amounts are not sales commissions.

7.4 Buyer and Seller Responsibility

The Seller is responsible for the Listing, the item, pricing, taxes allocated to the Seller, legal compliance, required disclosures, fulfillment, delivery, refunds, and statutory warranties. The Buyer is responsible for reviewing the Listing, Seller identity, total price, shipping terms, estimated delivery, return rules, and other transaction information before purchase.

8. Purchases and One-Seller Marketplace Checkout

8.1 Separate Contract for Each Seller

A Marketplace artwork checkout is limited to items from one Seller and creates one proposed Seller purchase. Items from another Seller require another checkout and a separate order/payment record. Rights concerning delivery, withdrawal, cancellation, return, defects, warranties, and refunds apply to each item and Seller contract.

8.2 One Checkout, One Seller Payment

The Marketplace artwork checkout identifies one Seller and one total amount before final confirmation. Stripe creates the direct payment on that Seller's connected account. The Buyer must complete another checkout to purchase from another Seller.

8.3 Payment Failure and Retry

If the payment fails or expires, the order remains unpaid and fulfillment must not begin. intendle may offer the Buyer a retry for that same Seller order. A separate checkout with another Seller keeps its own independent order and payment state.

8.4 Shipping Charges by Shop

The checkout displays the identified Seller's shipping charge and fulfillment terms. A separate checkout with another Seller has its own shipping charge and fulfillment obligation.

8.5 Order Information

A Buyer must provide accurate billing, delivery, and contact information. A Seller may use Buyer information only to fulfill the transaction, comply with law, communicate about the order, and exercise legitimate rights arising from the transaction. Seller access to Buyer information after cancellation or Account closure is governed by applicable retention rules and the Seller Agreements.

9. Editorial Book Recommendations and External Merchants

The catalog of 144 editorially recommended books existing as of the Last Updated date is separate from member-listed Books sales.

For those editorial recommendations:

  • intendle provides editorial information and a link to an independent third-party merchant;
  • intendle is not the Seller and is not acting as the transaction intermediary;
  • any purchase takes place on the third-party merchant’s service;
  • the third-party merchant’s price, availability, delivery, privacy, return, and contract terms apply; and
  • intendle is not responsible for the third-party merchant’s website, transaction, goods, or conduct, except to the extent liability cannot lawfully be excluded.

10. Ownership of User Content

10.1 Users Retain Their Rights

As between you and intendle, you retain ownership of your User Content and any intellectual-property rights you hold in it. These Terms do not transfer ownership of your artwork, photographs, books, text, illustrations, trademarks, publicity rights, or other User Content to intendle.

10.2 Limited Operational License

You grant intendle a worldwide, non-exclusive, royalty-free license, for the duration described in Section 10.5, to host, store, reproduce, technically process, transmit, display, make available, index, organize, and distribute your User Content solely as reasonably necessary to:

  • operate and provide the Services;
  • display your profile, posts, portfolio, shop, Listings, previews, and order records;
  • create thumbnails, previews, responsive image sizes, and other technically necessary formats;
  • include eligible User Content in search and Discover;
  • provide accessibility, security, fraud-prevention, backup, and moderation functions;
  • enable authorized service providers to perform services for intendle; and
  • comply with law, enforce these Terms, or preserve evidence of transactions and disputes.

This license permits only technical adaptations reasonably required for those purposes, such as resizing, compression, file-format conversion, cropping for a preview frame, or creation of a thumbnail. It does not authorize intendle to alter the substantive meaning, authorship, or artistic integrity of the work.

10.3 Promotional Use

intendle may feature User Content inside the Services, including on the intendle homepage and Discover, as part of operating the platform. intendle does not use User Content in off-platform advertising, promotional email, or intendle social-media promotion unless the User separately opts in or otherwise gives specific permission.

10.4 Service Providers

intendle may sublicense the limited rights in this Section only to service providers acting for intendle and only to the extent necessary to provide their contracted services. Service providers do not receive ownership of User Content.

10.5 End of the License

The operational license ends when the User Content is deleted from active publication, except to the extent that continued retention or display is reasonably necessary for:

  • completed or open order histories;
  • Buyer access to purchased digital content, where applicable;
  • legal, accounting, tax, fraud-prevention, moderation, dispute, or enforcement records;
  • copies already sent through an email or communication before deletion;
  • evidence of consent, publication, transaction, complaint, or infringement notice; and
  • technical backup copies retained for up to 14 days and not restored to active publication except for disaster recovery, security, or legal compliance.

A deleted title may remain identified in a Buyer’s order history.

10.6 No Implied Transfer of Moral or Publicity Rights

Except for the limited technical permissions expressly stated, these Terms do not require a User to waive moral rights, rights of attribution, rights of integrity, publicity rights, privacy rights, or other non-transferable rights. Users remain responsible for obtaining all permissions required from photographers, models, co-authors, illustrators, translators, publishers, rights holders, and depicted persons.

11. User Representations and Warranties

Each time you submit, publish, transmit, or sell User Content, you represent and warrant that:

  1. the information you provide is accurate and not misleading;
  2. you own the User Content or have all licenses, consents, releases, and authority necessary for the intended use through the Services;
  3. intendle’s exercise of the license in Section 10 will not infringe or violate copyright, trademark, privacy, publicity, contractual, moral, confidentiality, trade-secret, or other rights;
  4. any identifiable person shown in User Content has given the legally required consent for the image and its intended use;
  5. photographs taken by another person are used with the photographer’s permission or under another valid legal basis;
  6. the User Content and any item offered for sale comply with applicable law and the Acceptable Use Policy; and
  7. you will provide reasonable evidence of rights or authority if intendle requests it in response to a complaint, verification review, or legal obligation.

Books Sellers and Art Marketplace Sellers make additional warranties under their respective Seller Agreements.

12. Images of People

12.1 Required Rights

A User uploading an image of a person is responsible for obtaining both:

  • the copyright permission required from the photographer or other copyright owner; and
  • the consent or other lawful authorization required from each depicted person.

Additional restrictions concerning nudity, sexual content, exploitation, and personal safety are stated in the Acceptable Use Policy.

12.2 User-to-User Contact

Any contact, discussion, proposed engagement, or relationship initiated outside the transaction functions of intendle is undertaken directly between the relevant Users. intendle does not verify or guarantee the identity, safety, qualifications, intentions, or conduct of a person merely because that person has an Account.

13. Acceptable Use

You must comply with the Acceptable Use Policy. Without limiting that policy, you may not use the Services to:

  • upload, publish, sell, or distribute material without the required rights;
  • offer counterfeit, falsely attributed, stolen, unlawfully exported, or otherwise prohibited items;
  • make false claims about authorship, provenance, edition, year, signature, certification, condition, identity, followers, reviews, sales, or professional status;
  • depict a person without the required permission;
  • harass, threaten, discriminate against, exploit, deceive, or impersonate another person;
  • engage in fraud, collusion, price manipulation, fabricated reviews, fabricated engagement, or circumvention of required seller fees;
  • scrape, crawl, harvest, copy, or extract the Services through unauthorized automated means;
  • manipulate Discover, search, follower counts, engagement, or platform security;
  • create or control prohibited duplicate Accounts;
  • introduce malware, interfere with the Services, probe vulnerabilities, or attempt unauthorized access;
  • sell or promote prohibited or restricted items, including protected animal or plant material, ivory, unlawfully traded cultural property, human remains, weapons, or controlled substances; or
  • use the Services in violation of law or another person’s rights.

Artistic context does not by itself make all sexual, nude, violent, or disturbing material permissible. The Acceptable Use Policy governs artistic nudity and prohibited sexual content, and moderators apply it consistently.

Automated scraping, copying, or use of any content on intendle for training artificial intelligence or machine learning systems is strictly prohibited.

14. Discover, Search, and Visibility

14.1 Rule-Based System; No AI

Discover and related ordering functions use rules configured by intendle. They do not use machine learning or artificial intelligence.

14.2 Main Ranking Parameters

The current main parameters used to determine which information is displayed and its relative prominence are:

  1. category and discipline match — content that matches your professional category and discipline, for example more ceramics for a ceramicist;
  2. declared interests — what you told intendle you are interested in;
  3. relationship signals — who you follow and your earlier interaction with an author;
  4. freshness — newer content is shown before older content; and
  5. further signals: quality and trust, professional-role relevance, shared language and operating area, recent activity, and hobbies.

Category and discipline match carries the most weight, followed by declared interests; the other parameters carry less weight, and professional identity counts more than hobbies. You influence these parameters through the category, discipline, and interests in your profile and through the Accounts you follow. intendle keeps this description accurate when the rules materially change.

14.3 No Visibility Guarantee

intendle does not guarantee that any Account, post, Listing, book, portfolio, or other Content will:

  • appear in Discover or search;
  • receive a particular position or duration of display;
  • reach a minimum number of Users;
  • receive followers, reactions, inquiries, or sales; or
  • maintain the same visibility after a rule, safety, moderation, or product change.

14.4 Moderation and Eligibility Effects

Content may be excluded, reduced in visibility, paused, hidden, or removed because it is ineligible, unavailable, sold, withdrawn, restricted, reported, under review, noncompliant, or associated with an Account restriction. intendle will provide reasons and appeal access when required by the applicable moderation process and law.

15. Verification

15.1 Verification Required to Create a Shop

A User must be verified before creating a shop, whether an Art Marketplace shop or a book shop. Verification is not required for other use of the Services. A person is verified once; one verification covers every shop of that person. The application consists of a form and a short live video and may require identity, contact, role, business, social media, and website information as described in the Verification Policy and Privacy Policy.

15.2 Verification Decisions

intendle may approve an application, request additional information, or reject it. The decision will be communicated with a reason, subject to legal and security limitations. A rejected applicant may use the reapplication process stated in the Verification Policy.

15.3 Free and Faster Review

The standard verification review is free and no processing time is promised for it. A User may pay for a faster review: USD 50 for a decision within 24 hours or USD 30 for a decision within 2 days, counted from the payment. If intendle misses the chosen deadline, the fee is refunded automatically. The faster review is a paid service, not a donation; it buys an earlier decision only, never approval.

15.4 Sensitive Verification Materials

Verification evidence includes the live video recorded in the application and may include company documents and screenshots of profiles and sales figures from other platforms. Those materials are treated as confidential verification records. Their collection, encryption, access control, access logging, non-disclosure, and automatic deletion 30 days after completion of the review are governed by the Privacy Policy and Verification Policy.

15.5 Verification Is Not Endorsement

A verification badge or status means only that the relevant process was completed. It does not guarantee authenticity, quality, value, solvency, legality, safety, delivery, or future conduct.

16. Seller Services and Memberships

16.1 Separate Seller Agreements

A verified Seller must accept the applicable Seller Agreement before publication. Books and the Art Marketplace are separate seller programs with separate contracts, fee structures, and consents.

16.2 Membership Charges Are Independent of Sales

Seller membership charges are based on the applicable program and publication status, not on whether the Seller makes a sale. intendle does not promise that membership charges will produce sales or revenue.

16.3 Shop Status and Continuing Charges

Unless the applicable Seller Agreement expressly states otherwise:

  • an Active shop is visible, purchasable, and billed;
  • a Paused shop remains visible, is not purchasable, and remains billed;
  • a Hidden shop is not visible, is not purchasable, and remains billed;
  • a Canceled shop may remain visible without purchase functionality and is no longer billed after cancellation becomes effective; and
  • a Deleted shop is not visible or purchasable.

The fact that billing continues while a shop is Paused or Hidden must be displayed to the Seller before the Seller selects that status.

16.4 Separate Fees for Books and Marketplace

A Seller active in both Books and the Art Marketplace pays each applicable membership charge in full and as a separate billing item. There is no automatic offset, combined discount, or credit between the programs unless intendle expressly offers one in a later written agreement.

16.5 Current Prices and Price Versioning

Current fees, billing intervals, prorations, renewal information, and cancellation terms are displayed before acceptance and are governed by the applicable Seller Agreement.

16.6 Grandfathered Pricing

Where a Seller Agreement assigns a protected joining price, that price remains associated with the continuously maintained membership. Cancellation and later re-entry end that protected price unless the Seller Agreement expressly states otherwise.

16.7 Title Statuses and Order History

A book title may move from Draft to Published, Withdrawn, and Deleted. A title with an open order cannot be deleted. A deleted title may remain identified in the Buyer’s order history even though it is no longer publicly available or purchasable. The applicable Seller Agreement governs publication counts, withdrawal, deletion, and the treatment of open orders.

17. Payments, Payouts, and Stripe

17.1 Payment Provider

Payments and payouts are processed through Stripe. Stripe’s own terms and privacy disclosures apply to its services. intendle does not receive or store complete payment-card numbers.

17.2 No Customer Funds on the Operator’s Bank Account

For Marketplace artworks, the Buyer charge is made directly on the Seller's Stripe connected account. Sale proceeds do not pass through a personal or business bank account controlled by the intendle operator. Stripe controls balance availability, reserves and payout timing under its rules and applicable law.

17.3 Marketplace Artwork Direct Charges

Every eligible Marketplace artwork Seller type uses the same payment route:

  • the Buyer payment is created directly on the Seller's Stripe connected account;
  • intendle sets no application fee and takes no commission or per-sale platform fee; and
  • Stripe deducts applicable provider fees and pays the Seller under the Seller's connected-account configuration.

17.4 Shipping Is Not a Payout Gate

For a physical Marketplace item, the Seller must enter accurate shipping information when tracking applies, including:

  1. the shipping carrier; and
  2. the shipment tracking number.

A statement that the item was shipped, without the required evidence, is insufficient for fulfillment. Missing or false shipping information may trigger a reminder, fulfillment restriction, buyer claim, refund review, dispute handling or account enforcement. intendle does not hold or release Stripe funds based on those fields.

For an eligible Digital Book, the shipping-confirmation requirement does not apply; payout follows authorized digital delivery subject to payment-provider controls and dispute rules.

17.5 Changes to Payout Information

Payout information is managed through the Seller's authenticated Stripe connected-account interface. Stripe may require renewed authentication, verification or a security delay under its rules. intendle does not impose a fixed three-day payout restriction.

17.6 Stripe Controls

Stripe may delay availability, establish reserves or restrict payouts under its connected-account agreement. intendle does not offer escrow, money transmission, banking or trust services.

17.7 Chargebacks and Payment Disputes

Chargebacks, reversals, payment-provider reserves, fraud claims, and bank disputes are governed by the Payment and Payout Terms, the applicable Seller Agreement, and the payment provider’s rules.

18. Shipping, Delivery, Customs, and Insurance

18.1 Sellers Ship Physical Items

intendle does not operate a warehouse and does not pack or ship physical items. Each Seller is responsible for fulfillment.

18.2 Seller-Defined Shipping Information

A Seller must state, as applicable:

  • the countries or regions to which the Seller ships;
  • the available shipping methods and price for each destination;
  • the estimated carrier transit time;
  • the handling period before shipment;
  • whether tracking is included; and
  • whether insurance is included and, if so, the stated coverage amount.

Before purchase, the Buyer must be shown shipping cost, estimated delivery including handling time, tracking availability, and insurance information.

18.3 Tracking

intendle stores and displays the carrier and tracking number supplied by the Seller. intendle does not automatically query carrier systems or independently confirm carrier status.

18.4 Insurance

Any shipping insurance is arranged between the Seller and the carrier or insurance provider. intendle is not the insurer, insurance broker, or claims administrator.

18.5 Customs and Import Charges

Unless mandatory law requires otherwise, the Buyer is responsible for customs duties, import taxes, brokerage charges, and destination-country fees disclosed or imposed in connection with an international shipment. Sellers remain responsible for accurate customs information and lawful export.

18.6 Estimates and Delays

Delivery dates are estimates provided by Sellers or carriers. intendle does not guarantee a delivery date and is not responsible for carrier delay, customs delay, loss, or damage, except to the extent liability cannot lawfully be excluded or intendle fails to perform a separate duty it expressly undertook.

19. Refunds, Returns, Digital Content, and Statutory Rights

19.1 Policy Controls

Refunds, returns, non-delivery claims, defects, and withdrawal rights are governed by the Refund and Returns Policy, the applicable Seller Agreement, mandatory law, and any Seller-specific terms that do not reduce mandatory Buyer rights.

19.2 Returns

A Buyer may request the return of a physical Marketplace item within 14 days after delivery for any reason, including a change of mind, as described in the Refund and Returns Policy. Rights concerning defective, misdescribed, damaged, counterfeit, or undelivered items remain available where required by law or the applicable policy.

19.3 Digital Books

Before a Digital Book download begins, a Buyer in a jurisdiction requiring such consent must expressly request immediate performance and acknowledge the legally specified consequence for any withdrawal right. The consent must be recorded. Without the required consent, the download does not begin.

19.4 EU and United Kingdom Buyers

Buyers located in the European Union or United Kingdom may have mandatory distance-contract cancellation or withdrawal rights, including a 14-day period in qualifying cases and specific rules for digital content. Those rights and exceptions are stated in the Refund and Returns Policy and are not waived by these Terms.

19.5 Dispute Facilitation

intendle may provide a platform messaging channel and review order information, shipping evidence, and relevant communications. Refunds for a Seller’s sale are issued by the Seller through the intendle order and checkout tools to the Buyer’s original payment method; intendle does not issue refunds for Seller sales. Providing these tools does not make intendle the Seller or guarantor of the underlying item.

20. Messages and User Interactions

Users are responsible for their communications and dealings with other Users. You must use order messaging honestly and must not harass, threaten, mislead, or pressure another User.

intendle may access messages only as described in the Privacy Policy and where reasonably necessary for support, safety, fraud prevention, moderation, legal compliance, or resolution of a reported transaction issue. intendle does not guarantee that another User will respond.

21. Moderation, Restrictions, and Appeals

21.1 Moderation Authority

intendle may review, restrict, reduce the visibility of, hide, pause, remove, or preserve User Content and may restrict Account functions when intendle reasonably believes that action is necessary to:

  • enforce these Terms or an incorporated policy;
  • respond to a rights complaint, legal notice, court order, or authority request;
  • protect Users, the public, intendle, or the integrity and security of the Services;
  • investigate fraud, impersonation, counterfeit items, prohibited goods, payment abuse, or Account compromise;
  • address repeated violations; or
  • comply with applicable law or payment-provider requirements.

21.2 Human and Rule-Based Review

Moderation may involve review by the operator or authorized reviewers and rule-based technical measures. intendle does not use artificial intelligence as the platform’s decision-maker. Any future material change must be reflected in these Terms and applicable transparency notices.

21.3 Reasons and Notice

When intendle restricts Content or an Account, intendle will provide the affected User with a reason and identify the relevant rule, unless providing specific information would be prohibited by law, compromise an investigation or security, expose confidential information, or create a serious risk of harm.

For Business Users covered by applicable platform regulation, the statement of reasons will be provided on a durable medium at or before the restriction or suspension when required.

21.4 Appeal

A User may appeal an eligible moderation decision through the intendle Help Center at https://intendle.com/help/ or by email at legal@intendle.com within 30 days after notice. Appeals will be reviewed in a timely, non-discriminatory, diligent, and non-arbitrary manner by a qualified reviewer and not solely by an automated process. The User will receive the outcome and a reason.

21.5 Escalating Measures

Depending on severity, history, and risk, measures may include:

  1. notice or warning;
  2. removal or restriction of specific Content;
  3. pause of publishing, selling, messaging, or other functions;
  4. temporary Account suspension; or
  5. termination.

intendle may skip steps for severe, unlawful, dangerous, fraudulent, security-related, or repeated violations. A Marketplace Seller who lists a prohibited artwork receives a strike under the levels stated in the Community and Moderation Guidelines.

21.6 Repeat Infringers

intendle maintains and reasonably implements a repeat-infringer policy under the Copyright and DMCA Policy. The counting rules, threshold, and consequences are stated in that policy.

22. Suspension and Termination

22.1 Termination by the User

A User may stop using the Services and request Account closure at any time through the available Account process or by contacting support@intendle.com. Seller membership cancellation is governed by the applicable Seller Agreement, which states its effective date, the treatment of the current paid period, and the effect on Listings.

22.2 Restriction or Termination by intendle

intendle may restrict, suspend, or terminate access for reasons including:

  • a material or repeated breach of these Terms or an incorporated policy;
  • unlawful Content, counterfeit activity, fraud, deception, prohibited trade, or rights violations;
  • nonpayment of amounts properly due;
  • conduct that creates a credible safety, security, legal, or financial risk;
  • Account compromise or inability to verify authorized control;
  • a legal, regulatory, court, sanctions, or payment-provider requirement; or
  • misuse that materially interferes with the Services or other Users.

22.3 Notice Period for Business Users

Except where immediate action is permitted or required for a serious violation, repeated violation, legal obligation, fraud, security risk, prohibited item, counterfeit activity, or other imperative reason, termination of the entire service relationship with a covered Business User will take effect only after the notice period required by applicable law.

22.4 Immediate Action

intendle may act immediately when delay would create a material risk, when a law or authority requires immediate action, when payment or security systems require it, or when the User has repeatedly or seriously violated applicable rules. intendle will still provide a reason without undue delay where legally permitted.

22.5 Effect on Content and Functions

Depending on the action:

  • Content may remain visible, become non-purchasable, become hidden, or be removed;
  • a shop may move among Active, Paused, Hidden, Canceled, or Deleted states;
  • access to publishing, selling, messaging, or payout changes may be restricted;
  • billing continues for Paused or Hidden seller shops as disclosed in Section 16.3;
  • billing ends for a Canceled shop when cancellation becomes effective; and
  • open orders, refunds, disputes, tax records, and legal duties survive as required.

22.6 Open Orders

A Seller’s cancellation, suspension, or termination does not cancel open Buyer orders unless the applicable Refund and Returns Policy, payment provider, or law requires cancellation. The Seller must continue to fulfill lawful open obligations and must retain access to necessary order and communication functions until all open matters are resolved.

22.7 Pending Payments and Stripe Balances

Termination does not alter a real Stripe payment, refund, reversal, dispute, reserve, balance or payout. Those provider states remain subject to open orders, chargebacks, law and Stripe's rules; intendle does not manually release connected-account proceeds.

22.8 Account Deletion and Retained Records

Account deletion does not erase records that intendle must retain for legal, tax, accounting, payment, fraud-prevention, transaction-history, moderation, dispute, or rights-enforcement purposes.

22.9 No Evasion

A person whose Account has been terminated may not create or control another Account to evade the decision without intendle’s prior written authorization.

22.10 Account Suspension and Termination

If intendle blocks or deletes your account because you violated our Terms of Service or Community Guidelines, for example in cases of fraud, any active subscription ends immediately. Fees already paid are not refunded. Fees for applications that intendle rejects are refunded.

23. intendle Intellectual Property

intendle and its licensors retain all rights in intendle Content, the intendle name and branding, the design and organization of the Services, and the underlying software and databases, except for User Content and third-party material.

Subject to these Terms, intendle grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purpose. You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or exploit intendle Content or software except as expressly permitted by law or written permission.

No right to use an intendle trademark, logo, trade dress, or domain name is granted except as necessary to truthfully identify use of the Services.

intendle responds to copyright complaints under the Copyright and DMCA Policy. A valid notice must be sent to the designated agent listed there.

Notices, counter-notices, restoration, repeat-infringer treatment, and consequences of knowing misrepresentation are governed by the Copyright and DMCA Policy.

25. Privacy and Cookies

The Privacy Policy explains what data intendle collects, why it is used, the legal bases that may apply, service providers, international transfers, retention, security, and User rights. The Cookie Policy explains cookies and similar storage, including required consent controls for applicable jurisdictions.

By using the Services, you acknowledge that personal data will be handled as described in those policies. Acceptance of these Terms is not a substitute for consent where law requires a separate, freely given consent.

The Services may depend on or link to services operated by third parties, including Stripe, Google, DigitalOcean, external merchants, carriers, and websites identified by Users. Third-party services are governed by their own terms and privacy practices.

intendle is not responsible for a third party’s service, content, availability, security, pricing, or conduct merely because intendle integrates with or links to it. This Section does not limit liability that cannot lawfully be excluded.

27. Service Availability and Changes

intendle may maintain, update, secure, repair, redesign, suspend, or discontinue features. intendle does not guarantee continuous, uninterrupted, secure, or error-free operation and does not guarantee that all Content will always remain available.

Where a change materially affects a Business User’s contractual rights, seller activity, data access, ranking, or ability to use the Services, intendle will provide the notice and information required by applicable law and Section 31.

intendle is not liable for delay or failure caused by events beyond its reasonable control, including carrier failures, payment-network failures, hosting outages, internet disruptions, natural disasters, war, civil disorder, governmental action, labor disputes, or widespread security incidents, except where applicable law provides otherwise.

28. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND INTENDLE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” INTENDLE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, INTENDLE DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE;
  • CONTENT OR USER INFORMATION WILL BE COMPLETE, ACCURATE, OR RELIABLE;
  • A SELLER, BUYER, USER, PUBLISHER, GALLERY, OR OTHER PERSON IS WHO THEY CLAIM TO BE OR WILL PERFORM;
  • AN ARTWORK OR BOOK IS AUTHENTIC, LEGAL, ACCURATELY ATTRIBUTED, CORRECTLY DESCRIBED, UNDAMAGED, OR OF A PARTICULAR VALUE;
  • A TRANSACTION WILL BE COMPLETED, DELIVERED, ACCEPTED, OR FREE FROM DISPUTE;
  • ANY USER WILL RECEIVE SALES, REACH, FOLLOWERS, VISIBILITY, DISCOVER PLACEMENT, INQUIRIES, OR INCOME; OR
  • THIRD-PARTY SERVICES OR LINKS WILL REMAIN AVAILABLE OR SECURE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. IN THOSE JURISDICTIONS, THIS SECTION APPLIES ONLY TO THE EXTENT PERMITTED BY LAW.

29. Limitation of Liability

29.1 Excluded Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTENDLE AND THE OPERATOR’S SERVICE PROVIDERS, CONTRACTORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITY, LOSS OF DATA, LOSS OF GOODWILL, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

29.2 Marketplace and User Conduct

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTENDLE IS NOT LIABLE FOR LOSS ARISING FROM:

  • A BUYER-SELLER CONTRACT OR DISPUTE;
  • AUTHENTICITY, ATTRIBUTION, PROVENANCE, CONDITION, VALUE, LEGALITY, OWNERSHIP, PACKAGING, SHIPPING, CUSTOMS, INSURANCE, LOSS, OR DAMAGE OF A SELLER-LISTED ITEM;
  • USER CONTENT OR USER CONDUCT;
  • AN UNAUTHORIZED ACCOUNT ACCESS EVENT NOT CAUSED BY INTENDLE’S BREACH OF A NON-WAIVABLE DUTY;
  • A PAYMENT-PROVIDER, CARRIER, EXTERNAL MERCHANT, OR OTHER THIRD PARTY; OR
  • MODERATION OR SECURITY ACTION TAKEN IN GOOD FAITH UNDER THESE TERMS.

29.3 Non-Excludable Liability

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence where it cannot be limited, breach of a non-waivable statutory duty, or any other liability that applicable law does not permit the parties to exclude or limit.

29.4 Mandatory Consumer Rights

The limitations in this Section do not reduce mandatory rights of a consumer under the law that applies to that consumer.

30. Indemnification

To the extent permitted by applicable law, a User acting in a business or professional capacity will defend, indemnify, and hold harmless intendle, the operator, and their service providers and representatives from third-party claims, losses, liabilities, damages, judgments, penalties, and reasonable legal costs arising from or relating to:

  • that User’s User Content;
  • a Listing, sale, fulfillment, refund, tax, warranty, product, or Buyer obligation of that User;
  • infringement or violation of another person’s rights;
  • breach of these Terms, a Seller Agreement, or applicable law; or
  • fraud, misrepresentation, negligence, or willful misconduct by that User.

intendle will provide reasonable notice of an indemnified claim and may control the defense where legally appropriate. A User may not settle a claim in a manner that admits wrongdoing by, imposes duties on, or restricts intendle without intendle’s written consent.

This Section does not impose an indemnification obligation on a consumer where such an obligation would be unlawful or unfair under applicable consumer law.

31. Changes to These Terms

31.1 Notice and Versioning

intendle may propose changes to these Terms. The updated version will identify the new version number and Last Updated date. intendle will notify affected Users through the Account, email, or another durable method appropriate to the change.

31.2 Notice for Business Users

For covered Business Users, a proposed change will not take effect before the legally required reasonable and proportionate notice period expires.

No retroactive change will be imposed unless required by law or beneficial to the affected Business User and legally permitted.

31.3 Renewed Acceptance

Where renewed acceptance is required, intendle will request express acceptance and record the time and version. Until acceptance, the previously accepted version remains applicable to the extent legally and operationally possible.

If a User does not accept a required update, the User may discontinue use and cancel affected services before the effective date. intendle may restrict access to a feature that cannot lawfully or technically continue under the prior terms, but only after the required notice and subject to mandatory rights.

31.4 Urgent Changes

A shorter or immediate implementation period may apply where necessary to comply with law, address an unforeseen and imminent cybersecurity risk, prevent fraud or serious harm, or make a change that is exclusively beneficial to Users, to the extent permitted by applicable law.

32. Governing Law, Courts, and Mandatory Local Protections

32.1 Governing Law

These Terms are governed by the laws of the State of Texas and applicable federal law of the United States, without regard to conflict-of-law rules, except that mandatory laws protecting a User in the User’s country or state remain applicable where they cannot lawfully be displaced by contract.

32.2 Court Venue

Subject to Section 32.3, the parties submit to the state and federal courts having jurisdiction over Collin County, Texas, for disputes arising from or relating to these Terms or the Services.

32.3 Consumers Outside Texas

A consumer may retain the right to bring or defend proceedings in the courts of the consumer’s place of residence and to rely on mandatory local consumer law. Nothing in these Terms requires an EU, United Kingdom, Canadian, Californian, Texas, or other protected consumer to waive a forum or remedy that cannot legally be waived.

32.4 No Arbitration Agreement

These Terms contain no arbitration agreement and no class-action waiver.

33. General Contract Terms

33.1 Entire Agreement

These Terms and the incorporated policies constitute the agreement between intendle and the User concerning general use of the Services. A Seller Agreement, order confirmation, or feature-specific agreement supplements these Terms for the relevant activity.

33.2 Order of Precedence

If documents conflict, the more specific document controls for its subject matter. Mandatory law controls over all contractual terms.

33.3 Severability

If a provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain effective.

33.4 No Waiver

Failure to enforce a provision is not a waiver of the right to enforce it later. A waiver must be in writing and applies only to the specific instance stated.

33.5 Assignment

A User may not assign or transfer these Terms or an Account without intendle’s prior written consent. intendle may assign these Terms as part of a lawful transfer of the Services or business, subject to applicable notice and consumer rights.

33.6 No Partnership or Agency

These Terms do not create a partnership, joint venture, employment relationship, fiduciary relationship, franchise, or agency between intendle and a User. A Seller is not authorized to bind intendle.

33.7 Survival

Provisions that by their nature must survive termination—including ownership, transaction obligations, retained records, payment disputes, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions—remain effective after termination.

33.8 Headings

Headings are for convenience and do not limit the meaning of a provision.
