Payment and Payout Terms

Version 0.1 · effective August 11, 2026

Key Disclosures

  1. Stripe processes payments and payouts. intendle does not store full card numbers and does not hold Buyer funds in an intendle bank account.
  2. Each Marketplace artwork checkout is limited to one Seller and creates one direct payment on that Seller's connected Stripe account. Items from another Seller require a separate checkout.
  3. intendle charges no commission or per-sale platform fee on Marketplace artwork sales.
  4. Marketplace artwork charges are direct charges on the Seller's connected Stripe account. Stripe, not intendle, controls balance availability and payout timing.
  5. Stripe deducts applicable processing and, where applicable, cross-border, conversion or payout fees from the Seller's connected account under the Seller's Stripe agreement and account configuration.

1. Scope and Operator

These Payment and Payout Terms govern payment processing, Seller membership charges, faster verification review charges, Buyer payments, refunds, disputes, and Seller payouts through intendle.

The Services are operated by intendle ("intendle," "we," "us," or "our"). The operator's registered legal details are available on request via legal@intendle.com.

These Terms form part of the Terms of Service and apply together with the applicable Seller Agreement, Refund and Returns Policy, Shipping Policy, Verification Policy, and checkout disclosures.

2. Payment Provider

intendle uses Stripe for payment and payout services. Depending on the feature and location, a user may contract directly with an applicable Stripe entity and may be required to accept the Stripe Services Agreement, Stripe Connected Account Agreement, or other Stripe terms.

Stripe may use banks, card networks, payment-method operators, identity providers, and other financial partners. Stripe—not intendle—receives and processes full payment-card data. intendle may receive limited payment identifiers, status, amount, currency, billing information, risk signals, and transaction records needed to operate the Services.

3. Accepted Payment Methods

The payment methods actually accepted are only those displayed by Stripe Checkout for the user's location and transaction. intendle does not promise that PayPal, Apple Pay, Google Pay, bank debit or another method is available unless Stripe displays it in that Checkout session.

A displayed payment method may become unavailable because of location, currency, amount, risk, network, legal, or provider restrictions.

4. Currency and Conversion

Marketplace artwork listings, Buyer charges, refunds and the Marketplace membership are denominated in United States dollars (USD). A connected account may have a different settlement or payout currency. Stripe or a financial institution may convert the USD proceeds and apply processing, cross-border, conversion, payout or foreign-transaction fees. intendle does not set Stripe's conversion rate, settlement currency or payout currency.

5. Buyer Authorization

By confirming a purchase, the Buyer authorizes the payment provider to charge the displayed total for the identified Seller, including item price, Seller-specific shipping, taxes collected at checkout, and other clearly disclosed amounts.

An authorization, pending status, successful payment status, settlement, transfer, and payout are distinct events. A pending or authorized amount may later fail, reverse, expire, be refunded, or be disputed.

6. Seller Membership Charges and Free Verification

Books and Marketplace membership charges are separate recurring charges. A Seller using both pays both in full as separate line items. The Seller authorizes monthly or yearly automatic renewal, as chosen at checkout, under the applicable Seller Agreement until cancellation. Marketplace membership prices include applicable taxes.

A Seller-triggered Books tier upgrade may create an immediate prorated charge only after the Seller sees the full calculation and expressly confirms it.

The standard verification review is free. A faster review costs USD 50 for a decision within 24 hours or USD 30 for a decision within 2 days, counted from the payment, and is paid through Stripe. It is not a donation and does not purchase approval. If intendle misses the chosen deadline, the fee is refunded automatically to the original payment method.

7. One Seller per Marketplace Checkout

A Marketplace artwork checkout may contain one or more eligible items from one Seller only. A cart that contains items from more than one Seller cannot be submitted; the Buyer must complete a separate checkout for each Seller.

Before final confirmation, the Buyer must be able to identify that Seller and the complete amount associated with the direct payment.

8. Payment Failure and Retry

If the payment fails or expires, the order is not treated as paid and fulfillment must not begin. intendle may offer the Buyer a retry for that same Seller order. A separate checkout for another Seller has its own order and payment state and is not part of this Checkout session.

9. Payment Status and Order Confirmation

The order interface may use statuses such as pending, paid, payment failed, refunded, partially refunded, disputed, canceled, or reversed. A status is an operational record and must not be used to override mandatory legal rights.

The Buyer and Seller receive a durable order record identifying the Seller, item, amount, shipping, taxes shown at checkout, payment status, and applicable policy version.

10. No intendle Sales Commission

intendle does not charge a commission or per-sale platform fee. The Seller receives the full sale price, less payment-processing fees that Stripe deducts directly from the Seller's connected Stripe account.

Buyer payments are presented in USD. Where Stripe converts USD proceeds into another settlement or payout currency, Stripe may deduct applicable cross-border, currency-conversion or payout fees directly from the Seller's connected Stripe account under the Seller's Stripe agreement.

The following are not sales commissions:

  • Stripe or payment-method processing fees;
  • membership charges;
  • taxes, customs, or withholding;
  • refunds, chargebacks, reversals, reserves, and negative-balance recoveries;
  • currency conversion; and
  • separately agreed services.

11. Payment-Processing Fees

Stripe processing, cross-border, currency-conversion and payout fees are provider fees, not intendle commissions. Their amount and application are determined by Stripe under the Seller's Stripe agreement and connected-account configuration.

12. Seller Connected Account

A Seller may be required to create or connect a Stripe account and to provide identity, beneficial ownership, address, bank, tax, sanctions, business, and transaction information. The Seller must keep it accurate and must comply with applicable Stripe terms.

Stripe may decline onboarding, establish reserves, delay availability, pause payouts, restrict payment methods, reverse transfers, debit balances, request information, or terminate services under its rules. intendle cannot guarantee Stripe eligibility or payout timing.

13. Marketplace Direct Charges and Stripe Payouts

For a Marketplace artwork purchase, Stripe creates the charge directly on the Seller's connected account. intendle does not set an application fee, does not transfer the sale price through an intendle balance and does not manually pay out the Seller.

Stripe credits the connected-account balance after its applicable deductions and pays the Seller's external account under the Seller's Stripe payout schedule, subject to availability, reserves, refunds, disputes, negative balances, verification and legal restrictions. This flow is the same for each eligible Marketplace Seller type. Shipping confirmation remains a fulfillment duty but is not an intendle-controlled condition for releasing Stripe payouts.

Books are a separate product area and are not silently routed through the Marketplace artwork checkout.

14. Payout Availability and Timing

Payout timing is controlled by the Seller's Stripe connected-account payout schedule and may depend on payment finality, Stripe balance availability, reserves, risk review, holidays, banking systems, currency, country, refunds and disputes. A successful Buyer payment, an available Stripe balance and a completed bank payout are separate events.

No displayed estimate is a guarantee where the payment provider, bank, or law causes delay.

15. Payout-Detail Changes

Payout details are managed through the Seller's authenticated Stripe connected-account interface. Stripe may require fresh authentication, verification or a security delay. intendle does not promise or implement a fixed three-day payout hold.

16. Failed or Returned Payouts

A payout may fail or be returned because of inaccurate bank information, a closed account, name mismatch, unsupported currency, provider restriction, sanctions, compliance review, or banking error. The Seller must correct information through the secure process.

intendle is not responsible for a delay caused by inaccurate Seller information or a financial institution, except to the extent liability cannot lawfully be excluded.

17. Refunds

An approved refund is sent through the original payment method unless the Buyer expressly agrees to another lawful method. A Marketplace refund is bound to the original one-Seller order and provider payment. Refunds for a Seller's sale are issued by the Seller through the intendle order tools; intendle does not issue refunds for Seller sales.

The Refund and Returns Policy governs eligibility. Payment-provider and bank processing may add time after a refund is initiated.

18. Chargebacks and Payment Disputes

A Buyer may dispute a payment through a bank or payment method. The payment network or provider controls evidence deadlines and may withdraw the disputed amount and a dispute fee before a final decision.

The Seller must provide requested listing, rights, order, delivery, tracking, download, communication, and refund evidence promptly.

19. Reserves, Holds, and Negative Balances

Stripe may establish a reserve, hold funds, or debit balances under its terms. intendle may restrict payouts or transaction functions where reasonably necessary to address fraud, refunds, chargebacks, counterfeit claims, account takeover, sanctions, or legal process, under the applicable agreements.

20. Fraud and Security Review

intendle or Stripe may delay, reject, or review a transaction where there is a reasonable indicator of fraud, account takeover, unlawful trade, sanctions, stolen payment credentials, unusual payment behavior, false shipment, or another material risk.

A review does not guarantee that fraud will be detected. Users must protect credentials and report suspected unauthorized activity promptly to support@intendle.com.

21. Taxes and Withholding

Amounts shown at checkout may include taxes that intendle or Stripe is required to collect. A Seller remains responsible for taxes allocated to the Seller by law and must provide valid tax information.

intendle or Stripe may withhold, report, or remit amounts where legally required. The final sales-tax, VAT/GST, and information-reporting allocation is described on the Tax Information page.

22. Records and Receipts

intendle retains order, payment-status, refund, dispute, payout, and acceptance records for the applicable legal retention period. The user may access available records through the Account. intendle does not issue a Seller's legal invoice.

23. Cancellation or Termination with Open Transactions

Canceling a membership or Account does not cancel an existing Buyer-Seller contract, eliminate a refund, chargeback, tax, shipment, or payout duty, or require immediate deletion of legally retained transaction records.

24. Prohibited Payment Conduct

Users must not use stolen payment methods, manipulate refunds or chargebacks, fabricate shipment evidence, structure transactions to evade law or provider rules, launder funds, disguise a prohibited party, or use intendle for unlawful financial activity.

25. Changes to These Terms

A revised version will display a new version and Last Updated date. Where renewed consent, automatic-renewal disclosure, or business-user advance notice is required, intendle will provide it before the revised term becomes binding.
