Seller Agreement, Books

Version 0.1 · effective August 11, 2026

Key Disclosures

  1. The Seller sells books in the Seller’s own name and for the Seller’s own account. intendle is not the seller of a member-listed book.
  2. Books membership renews automatically each month until canceled. The charge is based on the number of published titles, not the number of sales.
  3. Publishing an additional title can cause an immediate, prorated tier upgrade only after the Seller sees the calculation and expressly confirms it.
  4. intendle does not take a percentage sales commission. Stripe charges, taxes, refunds, chargebacks, and separately disclosed membership charges are not commissions.
  5. Books and the Artwork Marketplace have separate publication, membership and commerce rules.

1. Parties and Acceptance

This Seller Agreement — Books (the “Books Agreement”) is a contract between intendle and the verified person or entity that accepts it as a Books seller (the “Seller”).

The Services are operated by intendle ("intendle," "we," "us," or "our"). The operator's registered legal details are available on request via legal@intendle.com.

The Seller accepts this Agreement electronically before the Seller's first group of draft titles is published. intendle records the Seller's Account identifier, the accepted version, date and time, and acceptance method. The Seller must also accept the Terms of Service, Payment and Payout Terms, Privacy Policy, Refund and Returns Policy, Shipping Policy, Acceptable Use Policy, Community and Moderation Guidelines, Copyright and DMCA Policy, and any checkout disclosures that apply.

If this Books Agreement directly conflicts with the general Terms of Service on a Books-specific commercial issue, this Books Agreement controls for that issue.

2. intendle Is the Platform; the Seller Is the Merchant

The Seller lists and sells each member-listed book in the Seller's own name and for the Seller's own account. The purchase contract for a book is between the Seller and the Buyer identified in the order. intendle provides listing, discovery, communication, checkout, payment-routing, download-delivery, and transaction-management technology, but intendle is not the seller, publisher of record, importer, exporter, warehouse, shipper, or insurer merely because the transaction uses the Services.

The separate editorial catalog of recommended books with links to outside merchants is not governed by this Books Agreement.

3. Eligibility and Verification

To become or remain a Books Seller, the Seller must:

  • be at least 18 years old and legally capable of contracting;
  • be verified by intendle before creating the book shop (once per person; the standard review is free, a faster review may be paid);
  • provide complete, current, and truthful identity, contact, Seller-type, payout, and tax information;
  • have authority to act for any publisher, gallery, business, estate, or other entity represented;
  • maintain an Account in good standing; and
  • complete any onboarding, identity, sanctions, or financial verification required by Stripe.

Verification is not an endorsement, authenticity finding, credit assessment, or guarantee of future performance. intendle may classify the Seller as artist, business, publisher, self-publisher, or gallery based on the verified role. That classification controls the payout route described below.

4. Rights in Every Book

For each title, the Seller represents and warrants that the Seller owns or has all permissions, licenses, assignments, and other rights required to reproduce, publish, market, display, distribute, sell, deliver, and authorize intendle to technically process:

  • the text and title;
  • the cover and title image;
  • illustrations, photographs, graphics, maps, and other visual material;
  • the required reading sample;
  • translations and translated metadata;
  • any audio, supplementary, or downloadable material; and
  • all names, trademarks, quotations, personal images, and third-party material included in or used to promote the title.

A publisher, licensee, gallery, estate, or representative must maintain a documented chain of rights and provide reasonable evidence on request. The Seller must not list pirated, counterfeit, unauthorized, misleadingly attributed, or unlawfully reproduced material.

5. Seller Responsibility for Content and Product Information

The Seller is responsible for the legality, accuracy, and completeness of the title, files, metadata, price, currency, format, edition, language, description, author and contributor credits, publisher information, ISBN information where used, release status, reading sample, cover, compatibility information, shipping settings, and all disclosures required by law.

A digital file must be free from malware and must match the format and description shown to the Buyer. A printed book must match the described edition and condition.

6. Reading Sample Requirement

Every published title must include a reading sample: at least 600 characters of sample text, or an uploaded sample file. A title may be saved as a draft without a compliant sample but may not be published or offered for sale until the requirement is satisfied.

7. Title States and Published-Title Count

A title may move through draft → published → withdrawn → deleted.

  • A draft is not publicly for sale and does not count toward the membership tier.
  • A published title is publicly available for purchase and counts toward the tier.
  • A withdrawn title is not available for new purchases and does not count toward the tier.
  • A title with an open order cannot be deleted.
  • A deleted title remains identifiable in the Buyer's order history to the extent required for transaction records and legal obligations.

Only published titles determine the Books membership tier. Sales volume does not determine the tier.

8. Monthly Books Membership Tiers

The current monthly tiers are:

Published titlesMonthly Books membership chargeBilling treatment
0USD 0.00No Books membership charge
1USD 25.00Automatic tier after express agreement and payment
2USD 40.00Automatic tier after express upgrade confirmation
3USD 55.00Automatic tier after express upgrade confirmation
4USD 70.00Automatic tier after express upgrade confirmation
5–10USD 99.00Automatic tier after express upgrade confirmation
11 or moreIndividual agreementRequest required; no automatic higher charge

Before acceptance and before each upgrade, the interface displays the current amount.

9. Separate Marketplace Membership

Books and the Art Marketplace are separate seller programs. A Seller using both pays both charges in full as separate line items. There is no automatic offset, bundle discount, or credit between them. For example, the current USD 60.00 monthly Business plan and a USD 99.00 Books tier produce two charges totaling USD 159.00 per month.

10. Automatic Renewal

THE BOOKS MEMBERSHIP RENEWS AUTOMATICALLY EACH MONTH UNTIL THE SELLER CANCELS IT. THE SELLER AUTHORIZES THE THEN-APPLICABLE MONTHLY BOOKS CHARGE FOR THE SELLER'S PUBLISHED-TITLE TIER TO BE CHARGED ON EACH RENEWAL DATE.

Immediately before acceptance, intendle must display:

  • the applicable monthly amount;
  • the monthly billing frequency;
  • the first or next charge date;
  • the payment method or account to be charged;
  • the applicable cancellation method; and
  • a clear statement that cancellation is available through an online method that is no more difficult than enrollment.

The Seller may cancel at any time through the Seller workspace or another equally direct online method identified at acceptance. Unless mandatory law requires otherwise, cancellation stops renewal at the end of the paid billing period and does not create a prorated refund for the current period.

11. Seller-Initiated Upgrades

An upgrade occurs only when the Seller chooses to publish an additional title that moves the Seller into a higher tier.

The upgrade:

  • takes effect immediately after express confirmation;
  • is prorated according to the remaining days of the current billing period;
  • uses the formula (new monthly charge − old monthly charge) × remaining days ÷ total days in the billing period;
  • displays the old tier, new tier, new monthly amount, immediately due prorated amount, full calculation, and next full renewal date before confirmation; and
  • creates no payment duty if the Seller does not confirm. Without confirmation, the additional title remains a draft.

Operational example: a USD 15.00 difference with 25 days remaining in a 31-day billing period produces an immediate charge of USD 12.10 after rounding to the nearest cent.

12. Downgrades

A downgrade takes effect only at the next billing period. The current paid period is not recalculated. There is no prorated refund, credit, or offset for the current period.

The interface must state the effective date and the title count that will determine the next tier. Open orders and record-retention duties continue regardless of downgrade.

13. Grandfathered Pricing

The monthly charge accepted when a membership begins remains assigned to that uninterrupted membership unless the Seller voluntarily triggers a tier change under this Agreement or expressly accepts a lawful change. A price change intended for new memberships does not automatically replace an existing grandfathered charge.

Grandfathered pricing ends when the Seller cancels and later rejoins. The price available at re-entry applies.

14. Eleven or More Published Titles

Publishing an eleventh title does not trigger an automatic higher charge. The Seller must request an individual agreement. Until an individual agreement is accepted, the USD 99.00 tier continues and the existing published titles remain available for sale; the additional title remains subject to the status shown in the interface.

Titles already published stay on sale. The tier fee of USD 99.00 per month continues to apply until an individual business agreement is concluded. Members at this level are treated as business accounts.

15. Billing, Failed Charges, and Grace Period

Membership charges are processed through Stripe. The Seller authorizes intendle and Stripe to use the selected payment method for authorized recurring charges, prorated upgrades, refunds, reversals, and other amounts expressly accepted under the applicable agreements.

If a membership charge fails, intendle may notify the Seller and allow a cure period. After the cure period, new sales may be paused, but the Seller's content is not automatically deleted. Successful payment reactivates eligible sales promptly, subject to security, verification, and legal review.

The cure period is 7 days.

16. No Sales Commission

intendle does not retain a percentage commission from the sale price of a member-listed book. The following are not sales commissions:

  • monthly membership charges;
  • Stripe or payment-method fees;
  • taxes, currency-conversion amounts, refunds, chargebacks, reserves, or negative-balance recoveries; and
  • separately agreed services.

17. Orders and Contract Formation

intendle does not currently offer a Book purchase checkout.

18. Separate Books Payment Route

Book listings, memberships and any future Book purchase checkout are separate from the Artwork Marketplace. A Book must not enter the Artwork cart, order, or artwork payment flow merely because the same person operates both seller areas.

19. Changes to Payout Details

If Book payouts are enabled through Stripe, payout details must be managed through Stripe's authenticated interface. Stripe may require renewed authentication, verification or a security delay under its rules. intendle does not promise or implement a fixed three-day payout hold.

20. Stripe Terms and Connected Account Duties

The Seller may be required to enter a direct agreement with Stripe and complete Stripe Connected Account onboarding. The Seller must provide accurate information and comply with Stripe's applicable terms. Stripe may request identity, ownership, bank, tax, sanctions, transaction, and business information and may restrict or delay payment functions.

intendle does not store full payment-card numbers. The Seller authorizes the data sharing and payment instructions reasonably necessary to provide the Books service, subject to the Privacy Policy and Stripe's own privacy terms.

21. Digital Books

Before a paid digital download begins, a Buyer in a jurisdiction that requires it must expressly request immediate performance and acknowledge any resulting loss of a statutory withdrawal right. The consent must be timestamped and versioned. Without the required consent, the download must not begin.

The Seller remains responsible for statutory remedies where the file is defective, corrupt, materially different from the description, unauthorized, or not delivered.

22. Printed-Book Fulfillment

The Seller is solely responsible for inventory, packaging, dispatch, carrier selection, tracking, insurance choice, customs documentation, delivery performance, and communication with the Buyer. intendle does not store, package, insure, or ship printed books.

The Seller must configure supported delivery countries, shipping methods, price, handling time, estimated transit time, tracking availability, and insurance information. These terms must be visible before purchase.

23. Returns, Defects, and Non-Delivery

The Seller must comply with the Refund and Returns Policy and all mandatory consumer rights. intendle provides no voluntary satisfaction guarantee beyond applicable law. The Seller must respond to order messages and provide evidence reasonably required to resolve a claim.

intendle may review the order record, shipping information, download record, and platform message history. Refunds are issued by the Seller; intendle does not issue refunds for Seller sales.

24. Taxes

The Seller is responsible for income, business, franchise, VAT/GST, customs, registration, invoice, and tax-reporting duties allocated to the Seller by law. intendle or Stripe may collect, withhold, report, or remit amounts when legally required. The final allocation of U.S. marketplace sales tax, EU/UK digital VAT, and information reporting is described on the Tax Information page.

25. Seller Conduct and Moderation

The Seller must comply with all intendle policies. intendle may review, restrict, withdraw, or remove a title and may pause or terminate seller privileges for infringement, unlawful content, fraud, misrepresentation, security risk, payment risk, prohibited material, repeated violations, or another documented policy ground.

Each moderation decision must be recorded, communicated with reasons, and provide the applicable appeal route unless notice or appeal is lawfully restricted for safety, fraud prevention, legal process, or investigative integrity.

26. Suspension, Termination, and Open Orders

The Seller may cancel the Books membership at any time. At the end of the paid period, titles may remain visible for record or profile purposes but lose purchase functionality unless another lawful status applies.

intendle may suspend or terminate for a material breach, repeated violations, nonpayment after the grace period, fraud, infringement, legal restriction, Stripe ineligibility, or serious risk. Immediate action is reserved for serious or urgent grounds.

Open orders survive cancellation or suspension. The Seller must continue fulfillment, buyer communication, refunds, and legal obligations. A title tied to an open order cannot be deleted.

27. Chargebacks and Negative Balances

A Buyer may dispute a payment through a bank or payment method. Evidence deadlines and outcomes may be governed by payment-network rules. The Seller must provide requested order, delivery, download, communication, and rights evidence promptly.

28. No Guarantee

intendle does not promise publication approval, sales, ranking, reach, followers, revenue, conversion, uninterrupted availability, or continued access to a particular payment method. The Seller makes independent commercial decisions and bears the risks of producing and selling the Seller's books.

29. Indemnity and Liability

The Seller's indemnity and the limitations of liability in the Terms of Service apply to claims arising from the Seller's books, content, rights, listings, sales, taxes, fulfillment, returns, or violation of law. Mandatory consumer and statutory rights remain unaffected.

30. Changes to This Agreement

A revised Books Agreement must display a new version and Last Updated date. Where renewed consent is required, intendle will request it and record the accepted version. Any required advance notice for business users is applied before a material change takes effect.

31. Governing Law and Mandatory Rights

The governing-law and dispute provisions in the Terms of Service apply, subject to mandatory consumer, business-user, and jurisdictional rights that cannot be waived.
